Functions of the Downtown Improvement District Board
The Downtown Improvement Board shall levy all commercial tax assessments.  Recommend the annual budget and approve expenditures of DID Assessment funds; and implement and annually revise the five-year service plan; and an elect and Executive Committee to include the Chairperson, Vice-Chairperson, and one additional board member.  The Executive Committee shall provide general direction to the Manager necessary for the benefit of the DID, but shall not approve expenditures of DID funds or conduct any other business that may violate the Texas Open Meetings Act.  

The DID Board of Directors (the "Board") is created with seven (7) members, of which no less that six (6) members shall be record owners of real property within the DID.  Members of said Board are appointed by the Mayor and City Commission, with the Mayor having two (2) appointments and each City Commissioner having one (1) appointment.  Of the two (2) appointments authorized to the Mayor, at least one (1) appointment shall be an owner and/or general manager of a business located on real property subject to the assessment in the DID.  The terms of all appointees to the Board shall be concurrent with the terms of Mayor or City Commissioner making said appointments.  The Board must have a quorum consisting of a majority of the current members for offical action.  The Chairperson shall only vote to break a tie vote.  The Board shall meet no less than once monthly to give a direction to the Manager as to the day-to-day implementation of the Service Plan, and to approve the expenditure of DID assessment funds.
